Terms & Conditions for The Brainstorming Bestie™

These Terms & Conditions (“Terms”) govern your participation in The Brainstorming Bestie sessions, services, and related materials (collectively, the “Services”) provided by Nic LaProsperous and Evolve In Positive Company, LLC (“Company,” “we,” “our,” or “us”). By booking, purchasing, or participating in any Brainstorming Bestie™ Services, you (“Client,” “you,” or “your”) agree to these Terms.
1. Nature of Services
The Brainstorming Bestie™ is a guided clarity and alignment experience designed to help you explore ideas, uncover your next act, and connect logic with intuition. These Services are for personal and professional development purposes only. They are not therapy, medical treatment, financial, or legal advice.
2. Eligibility
You must be at least 18 years old to participate.
By booking, you represent that you are legally able to enter into this agreement.
If you have any mental health or medical conditions, you should consult a licensed professional before engaging with these Services.
3. Booking, Payment & Refunds
All bookings must be paid in full at the time of scheduling unless otherwise agreed.
Fees are non-refundable except where required by law.
Rescheduling requests must be made at least 48 hours in advance; otherwise, the session will be considered forfeited.
4. Intellectual Property
All methods, frameworks, session structures, materials, written deliverables (including but not limited to the IDEAL framework, Next Act Blueprint™, and Soulful Brainstorming™ process, IDEA Detox™, The IDEA Method), and any other content provided by Nic LaProsperous are the exclusive intellectual property of the Company. They are protected by copyright, trademark, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable license to use such materials for your personal and professional development. You may not copy, reproduce, distribute, sell, or otherwise use the Company’s intellectual property for commercial purposes without express written consent.
Any business ideas, creative concepts, strategies, or intellectual property that you bring into the session or develop during the session remain solely yours. The Company makes no claim of ownership over your personal or professional ideas.
By participating, you acknowledge this distinction: the process belongs to the Company; your ideas and creations belong to you.
5. Mutual Confidentiality & Non-Disclosure
Both the Client and the Company agree to treat as confidential all proprietary, sensitive, or personal information disclosed during the Services.
The Company agrees not to disclose or use the Client’s business ideas, strategies, personal information, or intellectual property for any purpose other than providing the Services.
The Client agrees not to disclose, reproduce, or use the Company’s proprietary methods, frameworks, materials, or deliverables for any purpose beyond their personal and professional development, without prior written consent.
Confidentiality obligations do not apply to information that:
Is or becomes publicly available through no fault of either party;
Is rightfully obtained from a third party without a duty of confidentiality; or
Is required to be disclosed by law or legal process.
This mutual confidentiality survives the completion or termination of the Services.
6. Client Responsibility
You understand and agree that results are not guaranteed. The Services are intended to guide and support you, but your choices, actions, and outcomes remain your responsibility.
You are solely responsible for implementing any insights, strategies, or ideas discussed.
7. Limitation of Liability
To the maximum extent permitted by law, we disclaim all warranties, express or implied, regarding the Services.
In no event shall we be liable for any indirect, consequential, incidental, or special damages.
Our total liability under these Terms shall not exceed the amount you paid for the applicable Service.
8. Indemnification
You agree to indemnify and hold harmless Nic LaProsperous, Evolve In Positive Company LLC, employees, contractors, and affiliates from any claims, damages, losses, or expenses arising out of your use of the Services.
9. Cancellation & Termination
We reserve the right to cancel or reschedule Services at our discretion. In such cases, you will be offered a rescheduled session or a refund.
We may terminate your participation immediately if you violate these Terms or engage in abusive, harmful, or disruptive conduct.
10. Governing Law
These Terms shall be governed by and construed under the laws of the State of New York, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in New York County, New York.
11. Updates to Terms
We may update these Terms at any time. Continued use of the Services after changes are posted constitutes acceptance of the updated Terms.
